Venture Capital Lawyer

Our client is an international investment firm and incubator focused on early-stage investments across global markets. Their portfolio spans the iGaming, FinTech, SaaS, and Digital Media sectors, where they actively support portfolio companies in driving growth. Rather than operating through a traditional hierarchical model, they focus on empowering management teams and providing hands-on commercial support that delivers measurable value.

As part of their continued expansion, our client is seeking an experienced Venture Capital Lawyer to join their team. This role plays a key part in managing deal flow and supporting the full investment lifecycle. The successful candidate will oversee all legal aspects of venture capital transactions, ensuring each deal is structured efficiently, compliant across jurisdictions, and aligned with the firm’s commercial goals.

Responsibilities:

As Venture Capital Lawyer, your broad responsibilities will include but are not limited to:

• Drafting, reviewing, and negotiating venture capital and commercial agreements, including shareholder agreements, investment agreements, share purchase agreements, and memoranda and articles of association.
• Ensuring robust investor protections through careful drafting and negotiation of investment documentation.
• Preparing and reviewing general commercial contracts such as employment agreements, service agreements, and profit share agreements.
• Coordinating company incorporations and corporate structuring activities.
• Liaising with external legal specialists and advisors on specific matters.
• Advising on a range of commercial and regulatory issues across multiple jurisdictions.
• Serving as the primary legal point of contact for all negotiations and transaction-related matters with portfolio companies, co-investors, and external counsel.
• Providing strategic legal advice and support to management and internal stakeholders on issues relating to venture investments, corporate governance, and regulatory compliance.
• Supporting portfolio management activities, including follow-on investments, exits, and governance matters.
• Identifying legal risks and proposing pragmatic, commercially aligned solutions.

Requirements

• A European or preferably Maltese Law Degree.
• Demonstrated experience in early-stage venture capital transactions, ideally within VC funds, family offices, holding companies investing directly in startups, or startup-focused law firms.
• Hands-on experience with drafting, reviewing, and negotiating venture capital investment documentation.
• Previous experience in the iGaming and/or lead generation sectors is considered advantageous.
• Strong understanding of Maltese and international corporate tax law is a plus.
• Familiarity with investment management regulations will be considered an asset.
• Fluency in Business English and Legal English.
• Excellent communication skills with the ability to engage confidently and effectively with internal and external stakeholders.
• A proactive, well-structured, and independent approach to work.
