Job description

Responsibilities

  • Ensuring subsidiaries in the international structure meet their statutory obligations on corporatepliance matters
  • Board meeting support for regulated subsidiaries through the setting of agendas, preparation and distribution of board packs, drafting meeting minutes
  • Preparation and co-ordination ofmercial register filings for international subsidiaries, including annual returns, financial statements etc., liaising with external services providers as needed
  • Co-ordination with external service providers in relation to discharging thepany secretarial function on a multi-jurisdictional basis (including the above mentioned corporatepliance andmercial register filings).
  • Maintenance of statutory registers for subsidiaries
  • Maintenance of internalpany secretarial records (central registers containing details of all subsidiaries)
  • Assisting various functions in satisfying third party KYC / AML requests by collating necessary documents relating to international subsidiaries
  • Supporting group projects from a subsidiary management perspective

Role Requirements

  • Membership of Institute of Chartered Secretaries and Administrators
  • Minimum of 4-5 years' experience in a top tier Accountancy Practice or Law Firm or in-house in a corporate secretarial role
  • Experience in managing annualpliance for a portfolio ofpanies
  • Experience in leading board meetings and advising senior executives on corporateernance matters
  • Proficient on corporateernance andpany secretarial matters
  • Excellent attention to detail and organizational skills with an ability to managepeting priorities
  • Ability to exercise independent, sound judgment and to function with limited supervision
  • Experience dealing directly with mid- to high-level internal and external clients and senior management
  • Excellent oral and writtenmunications skills
  • Enthusiastic and keen to grow and develop within the organisation
  • Experience working with internationalpanies and / or within the financial sector, is desirable
  • Able to play a role in implementing policies and procedures to support organizational objectives and internal controls
