Responsibilities

  • Oversee and deliver corporateernance andpany secretarial services to the Firm's subsidiaries that operate in Ireland.
  • Act as the lead strategic business partner to senior stakeholders within EMEA (primarily in Ireland or related to Irish legal entity boards), the Ireland Senior Country Officer and other senior executives, providing advice on corporateernance andpany secretarial matters that relate to Irish legal entities and branches, and leading on materialmunications with board directors.
  • Work closely with the Head of OTS for Ireland and other members of OTS globally in delivering the strategic and operational objectives of OTS.
  • Provide proactive support to Irish boards and senior management (within and outside of Ireland) on corporateernance matters that relate to legal entities within the Irish business.
  • Oversee and deliver day-to-day corporateernance andpany secretarial services in respect of Irish legal entities, including board / boardmitteeernance and legal entity management.
  • Monitor changes in corporate legislation and the financial services regulatory environment and take or rmend action as appropriate.
  • Oversee and coordinate information flows to Irish legal entity boards and boardmittees, by proactively driving the agenda-setting process with the relevant board ormittee Chair and partnering with relevant stakeholders on the preparation of board andmittee meeting / briefing materials.
  • Act as an effective channel ofmunication for Irish legal entity board members, with a particular focus on non-executive directors.
  • Provide support and to coordinate board member onboarding, induction and ongoing training, in conjunction with relevant stakeholders within EMEA.
  • Provide support in implementingernance enhancements in relation to OTS managed legal entities, drivingernance standards in line with regulatory requirements and internal policies.
  • Develop effective working relationships with others within OTS, demonstrating the Firm's core values as a colleague.

Required qualifications, capabilities, and skills

Essential : Strong degree-level academic background.

  • Part / Fully Qualifiedpany Secretary, Corporateernance Professional or Corporate Solicitor with at least three years of relevant experience.
  • Track record of strong execution on corporateernance andpany secretarial matters within a high-profile environment, including extensive interaction with non-executive directors.
  • Track record of delivering change and driving corporateernance best practice.
  • Detailed understanding of corporateernance matters impacted by changing law and regulations in the financial services industry.
  • Ability to develop and maintain effective working relationships with board members and senior management
  • Self-motivated, goal-oriented and resilient
  • Ability to work independently and work well as a part of a wider team
  • Strong written and verbal skills, and an effectivemunicator with maturity to deal effectively at all levels of the organisation
  • Able to prioritise, handle time pressure and manage multiple projects at the same time, with flexibility to adapt to and manage shifting expectations appropriately
  • Preferred qualifications, capabilities, and skills

  • Experience gained working in regulated financial services (knowledge of payments industry especially useful).
